OmniOps Terms of Service
Effective Date: September 11, 2026
These Terms of Service (“Terms”) govern access to and use of the OmniOps website and the purchase of OmniOps services.
By using the website, submitting an application, entering into an agreement with OmniOps, making a payment, or otherwise engaging OmniOps, you agree to these Terms.
1. About OmniOps
OmniOps provides a configured operations system for agencies managing shift-based teams.
OmniOps is implemented within the Client’s existing operating environment and may use third-party tools and services to provide supported workflows, automations, forms, integrations, and other operational functionality.
OmniOps is not a standalone software application or a generic Notion template. The specific services, scope, deliverables, fees, and other engagement-specific terms are set out in the applicable Services Agreement, Implementation Overview, and Commercial Terms.
2. Applications and Engagements
Submitting an application does not guarantee acceptance or create an obligation for OmniOps to provide services. OmniOps may decline an application or determine that OmniOps is not suitable for an agency’s operation.
An engagement becomes binding when the applicable Services Agreement or other applicable written agreement has been accepted by the parties.
The Services Agreement governs the specific implementation and takes precedence over these Terms where the two conflict.
3. Services and Commercial Terms
OmniOps provides implementation and configuration services for its operational system. The scope, deliverables, fees, payment schedule, implementation details, and other engagement-specific terms are determined by the applicable Implementation Overview, Commercial Terms, Services Agreement, or other written agreement provided by OmniOps.
Any service, functionality, feature, integration, or other work not included in the applicable engagement terms is not automatically included in the implementation.
OmniOps may update its services, supported workflows, implementation methods, and technical configuration from time to time.
4. Third-Party Services
OmniOps may rely on third-party platforms and services, including tools used for databases, forms, automation, communication, hosting, payments, and other supported functionality.
Third-party services are operated independently and are subject to their own terms, policies, availability, pricing, and technical limitations.
OmniOps is not responsible for outages, interruptions, account restrictions, API changes, feature removals, pricing changes, or other issues caused by third-party providers.
Where an implementation depends on a third-party account, the Client is responsible for maintaining that account and complying with the applicable provider’s terms.
5. Client Responsibilities
The Client is responsible for providing accurate information and maintaining the accounts, permissions, subscriptions, and access required for its implementation.
The Client is responsible for its own use of the OmniOps system and for ensuring that its employees, contractors, and other users use the system appropriately.
The Client is also responsible for ensuring that information and content it provides or enters into connected systems may lawfully be used for those purposes.
Additional client responsibilities may be set out in the applicable Services Agreement.
6. Client Data and Intellectual Property
The Client retains ownership of its business information, operational data, documents, and other content it provides to OmniOps.
OmniOps retains ownership of its systems, methods, frameworks, templates, automation patterns, documentation, know-how, designs, processes, and other intellectual property used to provide its services.
Nothing in these Terms transfers ownership of OmniOps or its underlying intellectual property to the Client.
Any rights granted to the Client to use an implemented OmniOps system are subject to the applicable Services Agreement.
7. Acceptable Use
You may not use the OmniOps website, services, or connected systems to:
violate applicable laws or regulations;
infringe another person’s intellectual property, privacy, or other rights;
gain unauthorized access to systems or accounts;
interfere with the security or operation of the website or connected services;
distribute malicious code or harmful content; or
misuse OmniOps or its connected services in a manner that creates unreasonable legal, security, or operational risk.
8. Disclaimers and Limitation of Liability
OmniOps is provided on an “as available” and “as configured” basis to the maximum extent permitted by law.
OmniOps does not guarantee uninterrupted or error-free operation, compatibility with future changes to third-party platforms, or any particular business, financial, staffing, productivity, or other result.
To the maximum extent permitted by law, OmniOps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, data, or business interruption arising from or related to the website or services.
Any liability arising from a specific paid implementation will be subject to the limitations stated in the applicable Services Agreement.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
9. Changes, Suspension, and Termination
OmniOps may update these Terms from time to time. The version in effect at the time of an engagement will generally apply to that engagement unless otherwise agreed in writing.
OmniOps may suspend or restrict access to the website or services where reasonably necessary to address nonpayment, misuse, security concerns, legal requirements, or other material risks.
Termination of a specific implementation or service engagement is governed by the applicable Services Agreement.
10. General
These Terms, together with the applicable Services Agreement and any documents expressly incorporated into it, govern the relationship between OmniOps and the Client.
If these Terms conflict with a signed Services Agreement, the Services Agreement controls for that Client’s implementation.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
A failure to enforce any provision does not waive the right to enforce it later.
These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between OmniOps and the Client.
